Broker-dealers

WealthForge

WealthForge is a managing broker-dealer for sponsors of alternative investment products, carrying the regulatory and processing work between a sponsor and the broker-dealers and RIAs that sell its offerings.

The engagement covers sponsor and offering due diligence, advertising review, syndicate administration under selling agreements, supervision of production-compensated wholesalers and national accounts staff, creation and submission of regulatory filings, escrow agent services at no additional cost, subscription package review for in-good-order status, and commission payments as soon as 48 hours after trade approval. Its Altigo straight-through processing platform removes paper from subscription documents, sends them to the transfer agent or custodian, and gives the sponsor a dashboard tracking subscriptions and funding in progress.

It works with sponsors of 1031 exchange Delaware Statutory Trusts, private and non-traded REITs, qualified opportunity zone funds, syndicated Regulation D private placements, Regulation A placements, and 40 Act funds, and provides outsourced broker-dealer administration for managers that already have internal BD staff. Its compliance team cites due diligence experience across more than 1,500 offerings. WealthForge Securities, LLC and WealthForge Distributors, LLC are affiliated broker dealers, both FINRA and SIPC members, wholly owned by WealthForge Holdings, Inc.

WealthForge says it does not administer direct-to-investor offerings and is not currently working with sponsors in cannabis, conservation easements, offerings that include EB-5 investors, Regulation CF offerings, or capital formation using crypto or blockchain. It describes its best fit as sponsors that already have distribution and in-house wholesaling.
