Moschetti Law Group

Moschetti Law Group is a securities law firm whose practice is Regulation D private offerings. Its clients are real estate sponsors running single-asset syndications, development projects, and multi-asset programs; fund managers and yield strategies; private lending and debt funds; oil, gas, and energy sponsors; and operating businesses raising growth capital.

The firm prepares the whole offering rather than single documents: offering structure, the private placement memorandum, the operating agreement or limited partnership agreement, subscription agreements and investor questionnaires, Form D and blue sky filings, and guidance on whether a raise belongs under Rule 506(b) or Rule 506(c). Its argument for that scope is that none of those pieces can be prepared sensibly without the rest of the offering. Pitch deck work is offered separately.

Engagements are flat fee, which the firm contrasts with hourly billing, and it states that the practice has been focused on Reg D and private offerings for 13 years and more. It publishes a 2026 guide to what attorney-led Regulation D work costs, with a quote-comparison tool and worked offering scenarios, plus a podcast and written material on Reg D rules, fund structure and economics, PPMs, Form D and state filings, fund operations, and investor relations.

The fee ranges in that guide describe the market rather than a quoted price for a particular raise. A sponsor comparing quotes should get scope in writing first: which documents, how many revisions, which state filings, and who handles the entity formation.

Best for

Sponsors raising passive investor money under Regulation D — a syndication, fund, lending pool, or energy project — who want structure, documents, and filings handled together on a flat fee. Not for public offerings, and not for investors evaluating a deal.

Common questions

What does a private placement memorandum cost?
The firm's 2026 pricing guide places a complete, customised Regulation D legal package from a specialist securities firm at $12,000 to $25,000 and up. Fund, parallel, offshore, or institutional structures are commonly quoted at $20,000 to $40,000 and up, and large-firm engagements may reach $50,000 to $75,000 and up. Those ranges deliberately exclude templates, self-service products, and document-only assignments, which the firm argues are not comparable to a complete, investor-ready engagement.
Why can a PPM not be drafted on its own?
A PPM tells prospective investors what they are being asked to invest in, what rights they receive, how the sponsor or manager is paid, and what material risks apply. The firm's position is that it cannot be prepared intelligently in isolation, because the disclosure depends on the entity, the operating agreement, the subscription documents, and the exemption path the raise will use.
